1. Acceptance of Terms

These Terms and Conditions (“T&C”) govern all purchases made through the BROWE, Inc. (“BROWE”) website shopping cart. By placing an order, you agree to these T&C, including any amendments or updates posted online. Any differing or additional terms provided by the Buyer are expressly rejected unless agreed in writing by BROWE.

2. Products

“Products” include all goods manufactured or procured by BROWE and sold via the website or other channels. Product descriptions, specifications, and images are for reference only; minor variations may occur.

3. Orders & Acceptance

  1. Orders must be submitted via the shopping cart.

  2. Orders are subject to BROWE’s acceptance. No order is binding until BROWE confirms acceptance.

  3. Orders are non-cancellable and non-refundable.

  4. Cancellation of orders is subject to a 25% cancellation fee if not cancelled in writing at least 30 days prior to the scheduled delivery.

4. Pricing

  • Prices are based on BROWE’s current price list and are subject to change without notice.

  • Prices exclude taxes, duties, shipping, and fees. Buyers are responsible for all applicable taxes and import/export duties.

5. Payment

Domestic Buyers (U.S.)

  • Payment accepted via credit card, company check, wire transfer, or prepaid bank transfer.

  • Credit card payments processed at shipment may include a 3% processing fee.

  • Past due balances accrue 1.5% per month or the maximum legal rate.

    6. Delivery, Shipping & Risk of Loss

    • Delivery dates provided are estimates only. BROWE is not liable for delays caused by: acts of God, carrier delays, customs, force majeure, or other unforeseen events.

    • Partial shipments are permitted unless the Buyer specifically requests full shipment.

    • Title and risk of loss pass to Buyer upon delivery to the carrier at BROWE’s facility.

    • All Products are shipped using BROWE’s carrier of choice; shipping costs will be invoiced separately.

    7. Export Compliance

    • All Products are subject to U.S. export control regulations under the Department of Commerce (EAR).

    • Buyer agrees not to export, re-export, transfer, or use Products in violation of U.S. export laws.

    8. Warranty, Returns, & Refunds

    • BROWE warrants registered Products against defects in materials or workmanship (electrical/illumination systems: 2-year warranty).

    • Non-warranty service is available at Buyer’s expense.

    • No cash refunds: Buyers may receive a full site credit for the original order amount.

    • Chargeback Policy: Unauthorized chargebacks incur a $45 processing fee per occurrence.

    9. Continuous Improvement & Quality Assurance

    • All Products undergo quality inspections per manufacture standards.

    • Any suggestion submitted through the website suggestion box may be considered for operational improvement initiatives.

    10. Limitation of Liability

    BROWE is not liable for indirect, incidental, consequential, punitive, or exemplary damages. BROWE’s total liability is limited to the total fees paid for the affected Product.

    11. Intellectual Property

    BROWE retains all intellectual property rights, including designs, software, trademarks, and patents. Buyer is granted no license or right to use any BROWE IP without written consent.

    12. Privacy Policy

    Information Collected:

    • Name, email, shipping/billing address, payment information, purchase history.

    Use of Information:

    • To process orders, communicate order status, provide customer support, and improve Products/services.

    • May be shared with carriers or service providers solely for order fulfillment.

    Security:

    • Payment data is encrypted using industry-standard protocols.

    • BROWE implements reasonable administrative, technical, and physical safeguards.

    Cookies & Tracking:

    • The website may use cookies to enhance user experience, analyze trends, and track activity.

    Customer Rights:

    • Customers may request access, correction, or deletion of personal data by contacting privacy@browe-inc.com.

    13. General

    • Force majeure, electronic orders, assignment, governing law (Michigan), non-disclosure, and independent contractor clauses apply as in standard BROWE T&C.

    • These T&C and Privacy Policy represent the entire agreement between Buyer and BROWE for website orders.
